User Agreement for the Miitems Dynamic Content Management System (CMS), WordPress

CMS Injection Services, and/or the integration and use of Miitems plugins.

Welcome to Miitems. Before using our services, please read this User Agreement carefully.

Miitems specializes in dynamic CMS injection into WordPress websites, enabling clients to

update and control their website content in real time without requiring backend access. By

accessing or using our CMS, plugins, or related services, you agree to the terms and conditions

set forth in this agreement. If you do not agree to these terms, please do not use our services.

1. Acceptance of Terms

By using our CMS and becoming a member, you agree to be bound by these terms and

conditions. We reserve the right to modify these Terms at any time, and your continued use of

the services constitutes your acceptance of such modifications.

2. CMS Injection and Dynamic Data

Our core service consists of injecting a dynamic content management layer into WordPress

websites, enabling clients to update, manage, and control their website content in real time

without requiring WordPress backend or administrative access. In addition, the Miitems CMS

serves as a personal data manager for individual members who wish to manage and track their

personal items and belongings across different states, such as: have it, want it, sell it, lend it,

rent it, or any other custom state. You acknowledge that dynamically managed data may

change in real time and that we are not responsible for errors or inaccuracies arising from

content you or your authorized users publish through the system.

3. Permitted Use

You agree to use our CMS, injection services, and plugins only for lawful purposes and in

accordance with applicable laws and regulations. You must not use the services in any way that

could harm other users, third parties, or compromise the security of the system or any

connected WordPress installation.

4. Account Security

You are responsible for the security of your account and any credentials used to access the

Miitems CMS dashboard. Do not share your credentials with unauthorized persons and notify us

immediately of any unauthorized use of your account.

5. Intellectual Property

All intellectual property rights relating to the Miitems CMS, injection technology, plugins, and

their underlying code remain the property of First Class Group Inc. (FCGI). You agree not to

reproduce, reverse-engineer, distribute, or create derivative works based on our technology

without prior written permission.

6. Data Confidentiality

We respect your confidentiality. By using our services, you consent to the collection, storage,

and use of your data in accordance with our Privacy Policy.

7. Liability

Our services are provided “as is”. We do not guarantee uninterrupted accessibility, reliability, or

freedom from errors. In no event will FCGI be liable for any direct, indirect, special, incidental, or

consequential damages arising from the use of or inability to use our services, including any

impact on your WordPress website’s functionality.

8. Termination and Service Deactivation

We reserve the right to suspend or terminate your access to the CMS for material breach of this

Agreement (such as non-payment or security violations) upon five (5) business days’ written

notice. Upon termination or cancellation of the monthly subscription, the proprietary Miitems

injection system and premium licenses (e.g., Elementor Pro, Crocoblock, etc) will be

deactivated. Deactivation does not affect your ownership of the core website design, text

content, and static media, which remain yours to migrate or host elsewhere.

LONG VERSION

The Miitems.com Site, the Miitems application, and the various Services offered online (…) are

owned and operated by First Class Group Inc. (“FCGI”), domiciled at 9 Chemin de

l’Herminette, Lac-Beauport, Québec, G3B 1P2, Canada.

Corporate Relationship Disclosure: FCGI operates in partnership with, and distributes its

proprietary CMS services through, its authorized brand and operating entity, SLServicesWeb

Inc. For the purposes of this Agreement, any references to FCGI shall implicitly include its

authorized billing and development partner, SLServicesWeb Inc. All service delivery, project

agreements, and invoices issued under either corporate name represent a single, binding

operational framework managed by FCGI.

Information uploaded to the site, whether establishing information, private registration, or

registrations for the sale, rental, management, or donation of goods, will be referred to as

“Announcements” throughout this document.

A. USE OF THE SITE AND SERVICES AND ACCEPTANCE OF TERMS

1. Services

1.1 Core CMS Injection and WordPress Services

Miitems’ primary service consists of injecting a proprietary dynamic content management layer

into clients’ WordPress websites. This CMS injection allows clients and their authorized users to

create, edit, update, and manage website content in real time without requiring access to the

WordPress administrative backend, codebase, or hosting environment.

Through the Miitems CMS dashboard and associated plugins, clients can control dynamic data

displayed on their WordPress sites, including but not limited to product listings, inventory data,

pricing, announcements, media, and other managed content fields. FCGI does not control or

take responsibility for the content that clients publish through the system.

FCGI’s role is limited to providing the technical infrastructure, plugins, and platform that enables

this content management capability. FCGI does not act as a publisher, editor, broker, or agent

for any content managed through its system. In addition to its WordPress CMS injection

services, the Miitems platform also functions as a personal data manager for individual

members. Members may use their Miitems account to manage, organize, and track their

personal items and belongings across a variety of states, including but not limited to: have it,

want it, sell it, lend it, rent it, or any other status defined by the member. This personal data

management feature is designed for individual use and is subject to the same data ownership

and privacy terms set out in these Terms of Use.

1.2 Ad Placement and Listing Services

The Site also offers an online platform that allows Users to manage, upload, distribute, and

manage Announcements for the insertion of information, publication, sale, rental, personal

management, commercial management, or donation of goods and services.

No sale, rental, or donation transaction is made directly through the Site or Services. It is the

responsibility of the parties to complete any required contractual documentation and disclosure

of information as required by applicable law. FCGI does not offer goods or services for sale or

rental, nor does it act as a broker, agent, or mandatary for the sale or rental of goods.

1.3 Web Development, Hosting, and Domain Management Services

FCGI (via SLServicesWeb Inc.) offers custom website creation, programming, hosting, and

domain name management services.

1.3.1 Domain Name Ownership Guarantee:

The Client retains sole, exclusive, and permanent legal ownership of their registered domain

names (e.g., .ca or .com addresses).

• Client-Managed Domains: If the domain is registered in the Client’s private account

(e.g., GoDaddy), the Client is responsible for pointing their Domain Name System (DNS)

settings to FCGI’s servers to enable hosting.

• FCGI-Assisted Domains: If FCGI assists in purchasing or maintaining a domain on

behalf of the Client, FCGI acts strictly as a technical administrator.

• No Domain Withholding: Under no circumstances will FCGI or SLServicesWeb Inc.

withhold, lock, or refuse to transfer control of a domain name back to the Client due to a

billing dispute or contract termination. Upon cancellation, technical control of the domain

will be fully released to the Client within five (5) business days of a written request.

2. Eligibility to Register

2.1 For CMS and Plugin Services

Access to Miitems CMS injection services and WordPress plugins is available to businesses

and individuals who have entered into a service agreement with FCGI. The client is responsible

for ensuring that their use of the CMS and any content published through it complies with all

applicable laws and the terms of their WordPress hosting provider.

2.2 For Placing Announcements

Registration as a Member for Announcement Placement Services is permitted to merchants

who operate a business and to individuals for personal ads. Certain restrictions or specific

conditions may apply depending on the country, province, or territory concerned. It is the

responsibility of the Advertising Member to make appropriate checks, obtain any necessary

authorization, and respect applicable intellectual property rights before placing any

Advertisement on the Site.

2.3 For Consulting and Viewing Announcements

Registration to view Announcements is optional. Any User who registers on the Site to view Ads

and engage in purchase, data management, rental, or donation transactions with another

Member must be domiciled in Canada or accept that these services are provided by a Canadian

charter company. The User accepts that Announcements placed by or on their behalf may be

deleted or become inaccessible at any time and that FCGI provides no guarantee of permanent

data conservation or access.

3. Account, Username and Password

All Users are responsible for maintaining the confidentiality of non-public information linked to

their account, including credentials used to access the Miitems CMS dashboard. Users must

take all necessary means to ensure no one can access their password or username without

authorization. FCGI cannot be held responsible for unauthorized use of a User’s profile.

Users are required to immediately inform FCGI in writing upon becoming aware of any

unauthorized access or disclosure of their personal information. FCGI does not retain user

passwords. If a User loses a password, they must follow the password recovery procedure

available on the Site.

4. Accuracy of Information

Although FCGI deploys commercially reasonable means to ensure the reliability of the Site and

the CMS platform, FCGI makes no representation and cannot offer any guarantee as to the

quality, legality, or accuracy of content managed or published through the Miitems CMS by

clients. Clients are solely responsible for the accuracy and legality of content they publish via

the CMS injection system or any Miitems plugin.

5. Restricted License and Intellectual Property

For the purposes of browsing the Site, FCGI grants the Member a restricted license allowing

them to display on their computer or mobile device, print, download, and use the content they

can access, but only for non-commercial, personal purposes, subject to the following conditions:

With respect to the Miitems CMS injection technology, WordPress plugins, and all associated

software: these are proprietary technology owned exclusively by FCGI. Members and clients are

expressly prohibited from reverse-engineering, decompiling, copying, distributing, reselling, or

creating derivative works from any Miitems technology, plugin, or software without prior written

consent from FCGI.

FCGI is the sole owner of all intellectual property rights over the Site and its content, including

articles, texts, photographs, images, illustrations, audio clips, video clips, user interface

elements, data, databases, CMS injection code, and plugin software. Reproduction, copying,

modification, republication, distribution, or transmission of any of the foregoing is prohibited

without express written permission. It is understood that any data belonging to or managed on

behalf of a Member may solely be used with the best interests of that Member in mind.

FCGI’s trademark is: “Miitems™”. No trademark of FCGI may be used without prior written

authorization.

5.1 Intellectual Property Distinction (Custom Development vs. Proprietary Technology)

• Ownership and Exclusive Use by the Client: In the event that the Client has paid

initial development fees for a customized website, the Client is the sole legitimate owner

of the unique visual design, the base configuration files of the local WordPress site, and

the text, logos, and images created or uploaded specifically for their project. Miitems

does however, reserves the right to reuse the underlying design frameworks and

elements for other projects, provided the final output is not identical to the Client’s unique

version. This finalized website is intended exclusively for the Client’s own use and may

under no circumstances be redistributed, resold, duplicated, or given to a third party

• Exclusive Ownership of FCGI: The underlying remote injection technology, the

Miitems application, the source code of the exclusive CMS connector plugin, and access

to third-party commercial developer software licenses provided within the subscription

(e.g., Elementor Pro, Crocoblock, etc.) remain the exclusive and inalienable property of

FCGI. Upon termination of service, this exclusive software injection layer is deactivated.

To preserve the technical integrity of our tools, copying or sharing the database

architecture or Miitems’ exclusive CMS panel is strictly prohibited. Additionally, in the

event that a project is cancelled or suspended indefinitely by the Client prior to going

live, any shared mockups and conceptual ideas cannot be repurposed or exploited, and

the temporary testing environment will be deactivated

Client Data Use Rights: Notwithstanding the foregoing, each client retains the right to use the

data stored in their own Miitems account in the following ways: (i) displaying and publishing it on

their own website via the Miitems CMS injection; (ii) sharing it within any group to which they

belong and for which data sharing has been authorized; and (iii) transmitting or distributing their

own data to third parties directly, at their own discretion. These rights apply solely to data that

the client has themselves uploaded, created, or is the rightful owner of within their account.

Client Data Ownership: A client may at any time remove data stored in their Miitems account,

either totally or partially, at their sole discretion. Upon such removal or upon account

termination, FCGI will delete the relevant data from active systems. Only information strictly

necessary for statistical, legal, or security purposes may be retained by FCGI following such

deletion, in accordance with applicable law and FCGI’s Privacy Policy.

6. User-Generated Content

Clients and Members are solely responsible for all content published through the Miitems CMS,

plugins, or Site. This includes all content injected dynamically into WordPress websites via

Miitems services. You represent that you hold all required rights to reproduce, communicate to

the public, and distribute such content, including photographs, texts, product data, pricing, and

all other managed content.

FCGI reserves the right, but not the obligation, to remove content that violates this Agreement.

You may not use the Site or CMS to disseminate defamatory, obscene, offensive, violent, racist,

or illegal material, or material that violates the intellectual property of others.

7. Member Representations and Warranties

Each Advertising Member represents and warrants to FCGI that:

a. If operating a business, they comply with all applicable laws and regulations.

b. They hold any authorization, title, permit, or license required to advertise, sell, rent, or

donate the relevant goods or services.

c. Sharing an Ad or Announcement does not contravene any obligation or contract to which

they are bound.

8. Member Conduct

You agree to be respectful of FCGI, other Users, and third parties. You must not use the Site or

CMS services to:

Conduct or send surveys, contests, pyramid schemes, chain letters, or spam.

iv. Carry out hacking or any other form of computer attack against the Site, any WordPress

installation, or any third party.

v. Use computer bots, web scrapers, or automated agents in connection with the Site or

CMS services.

vi. Perform any other act for illegal purposes or contrary to accepted Internet practices.

9. Hyperlinks

The FCGI Site may contain hyperlinks to external websites. Activating such hyperlinks means

leaving the FCGI Site. FCGI is not responsible for the content or accuracy of external websites,

including sites hosted on FCGI servers that are not directly owned by FCGI. Any use of linked

external sites is at your own risk.

10. Site and CMS Security

FCGI takes commercially reasonable measures to prevent unauthorized access to the Site,

CMS platform, and any WordPress installations under management. However, FCGI does not

guarantee total security. FCGI and its administrators cannot be held responsible for acts of

computer hacking or any damage that may result. The Site or CMS may experience occasional

outages due to software updates, plugin changes, or events beyond FCGI’s control.

FCGI makes no warranty regarding:

vii. Uninterrupted or error-free operation of the Site or CMS platform.

viii. Correction of all defects, inaccuracies, or errors.

ix. Absence of viruses or harmful elements.

x. Interception-free transmission of communications via the Site.

11. Confidentiality and Personal Information

FCGI implements all measures reasonably necessary to comply with Canadian legislation

regarding the protection of personal information. Navigation on the Site, including online

purchases, is governed by FCGI’s Privacy Policy, which informs Users of the nature of personal

information that may be collected, used, and communicated to third parties. The Privacy Policy

provides a mechanism for Members to access and, where necessary, rectify their personal

information.

12. Payment and Payment Terms

Although certain Services on the Site are free for personal accounts, FCGI offers Users the

possibility of purchasing Services through the Site or through commercial agreements, upon

payment of a monetary consideration. Prices for Services are established by FCGI and are

indicated in Canadian dollars, with applicable sales taxes added at checkout.

Fees for custom web development are fixed per your specific Statement of Work. Ongoing

hosting, plugin licensing, and CMS injection services are billed as a recurring monthly

subscription at the specific rate set forth in your chosen program, Statement of Work, or

monthly invoice. FCGI reserves the right to modify monthly subscription prices upon thirty (30)

days’ written notice to the Member. Continued use of the services after the 30-day notice period

constitutes acceptance of the new rate. Once a paid Service has been activated, no

reimbursement will be issued. Payment is processed through FCGI’s third-party payment

service providers. In the event of a conflict between these Terms and the conditions of a third

party payment provider, the terms of the third-party provider will take precedence with respect to

payment matters.

13. Duration, Deactivation, and Asset Transition

13.1 Suspension for Non-Payment: If the monthly subscription fee remains unpaid for more

than seven (7) days past the due date, FCGI will issue a payment alert. If unpaid after an

additional five (5) business days, FCGI reserves the right to suspend active hosting and

deactivate proprietary systems.

13.2 Asset Ownership vs. Subscription Deactivation:

• Client-Owned Assets: The Client retains 100% ownership of all front-end visual

designs, layouts, text content, and local media databases created for their website.

• Deactivation of Proprietary Layer: Upon subscription cancellation or termination, the

proprietary Miitems CMS injection layer, stored external media and url linked assets,

active plugin functionality, and FCGI-provided third-party commercial software licenses

(e.g., Elementor Pro, Crocoblock, etc) will be deactivated and cease to operate.

13.3 Website Migration & Reconfiguration:

The Member is entirely free to migrate their owned website assets to an independent third-party

hosting provider. The Member acknowledges that because the proprietary injection layer and

active commercial licenses are removed upon cancellation, the site may require technical

adjustments or alternative software licenses to restore full dynamic functionality on a new host.

Any technical reconfiguration or external developer costs required to replace deactivated

components are the sole responsibility of the Member.

14. General Provisions

14.1 Applicable Law

These Terms of Use and their interpretation, execution, validity, and effect are subject to the

laws of Québec, Canada, as well as applicable federal laws. You acknowledge that any dispute

or controversy arising from or related to these Terms or use of the Site will be subject to the

exclusive jurisdiction of the courts of the judicial district of Québec, Province of Québec,

Canada.

14.2 Notice and Communication

Any notices required or permitted under these Terms must be in writing and delivered by email

or registered mail to:
